Ennoconn's Mandatory Offer for Kontron AG
On June 10, 2026, Ennoconn Corporation (TWSE 6414), already Kontron's largest shareholder, crossed the 30% voting-rights threshold in Kontron AG (Xetra KBC), triggering a mandatory offer to all shareholders at €23.50 per share, €0.02 above the statutory minimum. Kontron is Austrian but Frankfurt-listed, so the offer runs under the German WpÜG. On July 8, Kontron's executive and supervisory boards recommended rejection, citing the 2.4% premium; Ennoconn confirmed the offer would proceed.
The filings show the crossing was engineered: an off-exchange purchase of exactly 25,000 shares, at exactly the offer price, took Ennoconn from 29.99% to 30.01%, and the offer materials reserve the right to acquire further Kontron shares outside the offer. The structure is less a take-private attempt than the discharge of a legal precondition for continued stake-building.
